1. Acceptance of Terms
By accessing or using the Draft ERP accounting and ERP platform ("Service"), developed by Draft ERP Establishment ("we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including administrators, managers, and employees accessing Draft ERP on behalf of an organization ("Tenant").
2. Description of Service
Draft ERP is a cloud-based, multi-tenant accounting and enterprise resource planning (ERP) system designed for businesses operating in the Kingdom of Saudi Arabia. The Service includes:
- Full accounting and financial management (chart of accounts, journal entries, financial reports)
- Sales management: invoices, quotations, returns, credit/debit notes
- Purchase management: purchase orders, invoices, and returns
- Inventory management across multiple warehouses
- Point of Sale (POS) with offline capability
- ZATCA-compliant e-invoicing (Phase 2)
- Multi-branch and multi-user access with role-based permissions
- Integration with Trail (fleet management) and Wrush (auto service & repair)
3. Account Registration & Responsibilities
3.1 Account Creation
To use Draft ERP, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials.
3.2 Authorized Use
You agree to use Draft ERP only for lawful business purposes and in compliance with all applicable Saudi Arabian laws and regulations.
3.3 User Accounts
The Tenant administrator is responsible for managing user access within their organization, including creating roles, assigning permissions, and deactivating accounts of departing employees.
4. ZATCA Compliance Obligations
Draft ERP provides tools to facilitate compliance with ZATCA requirements. However:
- You are solely responsible for the accuracy and completeness of data entered into the system
- You are responsible for ensuring that your tax registrations and VAT numbers are accurate and current
- You are responsible for timely submission of VAT returns and tax declarations to ZATCA
- Draft ERP Establishment is not liable for penalties arising from inaccurate data entry or late submissions
- You must comply with all ZATCA regulations applicable to your business activity and size
5. Subscription & Payment
5.1 Subscription Plans
Access to Draft ERP is provided on a subscription basis. All prices are in Saudi Riyals (SAR) and are inclusive of VAT unless otherwise stated.
5.2 Payment
Subscription fees are due in advance for the selected billing period. Failure to pay may result in suspension or termination of your account.
5.3 Refunds
Subscription fees are generally non-refundable except as required by applicable law or as explicitly stated in your subscription agreement.
6. Data & Privacy
Your use of Draft ERP is governed by our Privacy Policy, incorporated into these Terms by reference. You retain ownership of all business data you enter into Draft ERP.
7. Intellectual Property
Draft ERP, including its software, design, features, and content, is owned by Draft ERP Establishment and protected by Saudi and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Draft ERP platform.
8. Service Availability
We strive to maintain high availability of Draft ERP. However, we do not guarantee uninterrupted access. Planned maintenance windows will be communicated in advance.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Draft ERP Establishment shall not be liable for indirect, incidental, special, or consequential damages arising from your use of Draft ERP
- Our total liability shall not exceed the subscription fees paid by you in the 3 months preceding the claim
- We are not responsible for data loss caused by user error or unauthorized access resulting from compromised credentials
- We are not liable for financial penalties or regulatory fines arising from errors in data you entered into the system
10. Prohibited Activities
You agree not to:
- Use Draft ERP to process, store, or transmit illegal or fraudulent financial data
- Attempt to gain unauthorized access to other tenants' data or system components
- Perform security testing or penetration testing without prior written approval
- Share login credentials between multiple users
- Use the Service in a manner that violates Saudi Arabian law
- Resell or sublicense access to Draft ERP without written authorization
11. Termination
11.1 Termination by You
You may terminate your subscription at any time by contacting us. Termination does not entitle you to a refund of prepaid subscription fees.
11.2 Termination by Us
We reserve the right to suspend or terminate your account with notice if you violate these Terms or fail to pay subscription fees.
11.3 Data Upon Termination
Upon termination, your access will cease. Your data will be retained per our data retention policy and may be exported upon request within 30 days of termination.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated to registered users at least 30 days in advance.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Kingdom of Saudi Arabia.
